These terms govern your use of the Ops Singularity website and the Sentinel AI platform. Please read them carefully before using our services.
These Terms of Service ("Terms") are a binding agreement between you and VWAVES Technologies Pvt. Ltd., a private limited company headquartered in Indore, Madhya Pradesh, India, which operates Ops Singularity and the Sentinel AI platform ("Ops Singularity", "we", "us", or "our"). By accessing our website, requesting a demo, or using our services, you agree to be bound by these Terms. If you do not agree, do not use the website or the services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
Ops Singularity is an autonomous AIOps platform that unifies IT operations, including incident management, Kubernetes monitoring, cloud cost control, and security threat detection, under one intelligence layer powered by Sentinel AI. The website provides information about the platform and lets you contact us or request a demo. Access to and use of the platform itself is provided to enterprise customers under a separate order form or master services agreement ("Customer Agreement"). Where there is any conflict between these Terms and a signed Customer Agreement, the Customer Agreement governs use of the platform.
Our services are intended for use by businesses and professionals, and are not directed at individuals under the age of 18. If we provide you with access credentials, you are responsible for keeping them confidential and for all activity that occurs under your account. We may suspend access if your use poses a security risk, may harm us or others, or violates these Terms.
The website, the platform and its underlying software, content, branding, and documentation, including the names "Ops Singularity", "ProcBot", and "Sherlock", are owned by VWAVES Technologies Pvt. Ltd. or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the website for its intended purpose. No other rights are granted. You may not use our trademarks without our prior written permission.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. As between the parties, you retain ownership of the data your organisation provides to or generates through the services ("Customer Data"). You grant us the rights necessary to process Customer Data to provide and improve the services, subject to the Customer Agreement and our Privacy Policy. We do not use Customer Data to train models shared across customers.
The services integrate with third-party tools and platforms that you choose to connect, such as monitoring, ITSM, cloud, and collaboration systems. Your use of those third-party services is governed by their own terms, and we are not responsible for them. You are responsible for ensuring you have the rights and permissions needed to connect them.
Fees for the platform, if any, are set out in the applicable order form or Customer Agreement. The website itself is provided free of charge. Unless stated otherwise, fees are exclusive of applicable taxes.
Each party may receive information that is confidential to the other. The receiving party will use the same degree of care it uses for its own confidential information, and will not disclose it except to those who need it to exercise rights or perform obligations under these Terms. This does not apply to information that is public, already known, independently developed, or rightfully received from a third party.
The website and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error free, or that every incident will be detected or resolved. Autonomous actions are bounded by the policies and approvals you configure.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the services in the twelve months preceding the event giving rise to the claim, or, where the website is used free of charge, INR 10,000. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your misuse of the services, your violation of these Terms, or your violation of any law or third-party right.
These Terms apply while you use the website or services. We may suspend or terminate your access at any time if you breach these Terms or if we discontinue the services. You may stop using the services at any time. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.
We may update these Terms from time to time. When we do, we will update the "Last updated" date above, and material changes will be highlighted on the site or communicated to registered users. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any dispute-resolution provisions in a signed Customer Agreement, the courts located in Indore, Madhya Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, internet or utility failures, or government action.
These Terms, together with our Privacy Policy and any applicable Customer Agreement, are the entire agreement between you and us regarding the services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to info@opssingularity.com.
